Terms of Service

1. Introduction & Acceptance

These Terms of Service ("Terms") govern your access to and use of the Midas algorithmic trading service ("Midas", "the Service"), operated by Midas Trading Systems ("we", "us", "our"). By subscribing to or otherwise accessing the Service, you ("you", "Subscriber") confirm that you have read, understood, and agree to be bound by these Terms in full.

If you do not agree to any part of these Terms, you must not subscribe to or use the Service.

2. The Service

Midas is a software-based algorithmic trading tool that places automated trades on the Subscriber's own MetaTrader 5 (MT5) brokerage account. As part of the subscription, we provide:

• Installation and configuration of the Midas Expert Advisor on a dedicated Virtual Private Server (VPS) provisioned for the Subscriber;
• Ongoing software maintenance and strategy updates;
• Reasonable email based support during UK business hours.

3. Eligibility

To subscribe to the Service you must:

• Be at least 18 years old;
• Have full legal capacity to enter into a binding contract under the laws of your country of residence;
• Not be a resident of a jurisdiction in which the use of automated trading tools, CFDs, or speculative trading is prohibited;
• Hold a valid challenge or demo account with a MetaTrader 5 being available.

4. Subscription, Payment & Renewal

Subscriptions are charged monthly in advance at the price displayed on our website at the time of purchase. By subscribing you authorise us, or our payment processor, to charge your nominated payment method on a recurring monthly basis until the subscription is cancelled.

All prices are stated in pounds sterling (GBP) and are inclusive of applicable VAT where required. Payment processing is handled by third-party providers (e.g. Stripe). We do not store your full payment-card details.

5. Cancellation & Refunds

You may cancel your subscription at any time, simply email us to request a cancellation or refund. Cancellation will take effect at the end of your current billing cycle, after which no further charges will be made.

Refund policy is governed by our separate Refund Policy, which forms part of these Terms.

6. Your Responsibilities

By subscribing, you agree that:

• You are responsible for ensuring that you understand the risks involved with automated trading before using Midas;
• You are responsible for any funds you choose to deposit into a brokerage, prop firm, or trading account connected to the service;
• You acknowledge that trading involves risk and that losses, account drawdown, prop firm rule breaches, or account failure may occur;
• You will provide accurate information required for setup, account connection, billing, support, and service delivery;
• You understand that if you interfere with Midas at any time, it may result in malfunction of the service. Losses caused by this will not be considered in a refund request.

7. No Financial Advice

Midas is a software tool, not a financial advisory service. We are not authorised or regulated by the Financial Conduct Authority (FCA) or any other financial regulator. Nothing on our website, in our communications, or in the Service itself constitutes investment advice, a personal recommendation, or a solicitation to buy or sell any financial instrument.

You should consult an independent, suitably qualified financial advisor before making any trading or investment decision.

8. Performance & Past Results

Any performance figures, backtest results, equity curves, or projected returns shown on our website or in marketing materials are based on historical data and/or hypothetical simulations. They are illustrative and do not guarantee or predict future performance.

Real-world results may differ materially due to factors including but not limited to: broker spread, slippage, latency, market gaps, news events, liquidity conditions, and changes to underlying market structure.

10. Intellectual Property

All software, source code, branding, design, copy, and content associated with Midas remain the intellectual property of Midas Trading Systems. Your subscription grants you a limited, non-exclusive, non-transferable, revocable licence to use the Service for your own personal funded trading account only.

You may not copy, modify, distribute, sell, sublicense, or create derivative works based on the Service without our prior written consent.

11. Limitation of Liability

To the maximum extent permitted by applicable law:

• The Service is provided "as is" and "as available" without warranties of any kind, whether express or implied;
• We do not warrant that the Service will be uninterrupted, error-free, or produce profitable results;
• We shall not be liable for any trading losses, missed trades, broker outages, VPS downtime, latency-related issues, slippage, or losses arising from market conditions;
• Our total aggregate liability arising from or in connection with the Service shall in no event exceed the total fees paid by you to us in the three (3) months preceding the event giving rise to the claim;
• Nothing in these Terms excludes or limits any liability that cannot legally be excluded or limited, including liability for death or personal injury caused by negligence, fraud, fraudulent misrepresentation, or any other liability that cannot be excluded under applicable law.

12. Indemnity

You agree to indemnify and hold us harmless against any claims, losses, damages, or expenses arising from your use of the Service, your trading activity, your breach of these Terms, or your violation of any law or third-party rights.

13. Termination

We reserve the right to suspend or terminate your subscription at any time, with or without notice, if you breach these Terms, abuse the Service, or use it for any unlawful purpose. Upon termination, your VPS access and software licence will be revoked.

14. Changes to These Terms

We may amend these Terms from time to time. Material changes will be notified to active subscribers by email at least 14 days before taking effect. Continued use of the Service after the changes take effect constitutes acceptance of the revised Terms.

15. Governing Law

These Terms are governed by and construed in accordance with the laws of England and Wales. The courts of England and Wales shall have exclusive jurisdiction over any disputes arising from or in connection with these Terms or the Service.
